                            NOTICE OF AWARD
                                  FOR
                   CONSULTING SERVICES AND CHEMICALS
                           HVAC WATER SYSTEMS



 1.0   PURPOSE AND INTENT

       1.1   THE PURPOSE OF THIS NOTICE OF AWARD (NOA) IS TO ESTABLISH
             CONTRACT INFORMATION FOR SUPPLYING MATERIALS, EQUIPMENT,
             LABOR AND SERVICES FOR A COMPLETE WATER TREATMENT PROGRAM
             OF THE HEATING AND COOLING SYSTEMS FOR THE DIVISION OF
             FACILITIES MANAGEMENT.

       1.2   IT IS INTENDED THAT THE USE OF THIS CONTRACT BE LIMITED TO
             THE DIVISION OF FACILITIES MANAGEMENT.

 2.0   THE PURCHASE BUREAU TERMS AND CONDITIONS ACCOMPANYING THIS
       PROPOSAL APPLY TO ALL CONTRACTS MADE WITH THE STATE OF NEW
       JERSEY UNLESS SPECIFICALLY DELETED ON THE STATE'S PROPOSAL FORM.


 3.0   SCOPE OF WORK

       THIS PROJECT WILL ACCOMPLISH THREE SPECIFIC GOALS;
       (A) PROTECTIVE STORAGE OF CURRENT OFF LINE EQUIPMENT,
       (B) MAINTENANCE OF THE CLEANLINESS OF EXISTING CLOSED LOOP, HOT
           AND CHILLED WATER SYSTEMS, AND
       (C) CHEMICAL TREATMENT AND PROTECTIVE MAINTENANCE OF OPERATING
           HVAC EQUIPMENT.

       3.1   PROTECTIVE STORAGE

             3.1.1   THE CONTRACTOR WILL PROVIDE ALL LABOR AND
                     EQUIPMENT NEEDED TO CONDUCT AN INSPECTION OF ANY
                     CURRENTLY STORED HVAC EQUIPMENT.

             3.1.2   THE CONTRACTOR WILL SUBMIT A WRITTEN REPORT
                     DOCUMENTING THE CONDITIONS FOUND AND MAKE
                     RECOMMENDATIONS FOR CORRECTIVE ACTIONS.  THE COST
                     OF ANY SUPPLEMENTAL CHEMICALS REQUIRED FOR THE
                     STORAGE OF BOILERS OR COOLING EQUIPMENT WILL BE
                     INCLUDED IN THIS BID.

       3.2   CLEANLINESS MAINTENANCE

             3.2.1   A CLEAN SYSTEM IS DEFINED AS A SYSTEM CONTAINING
                     LESS THAN 10 PPM OF SUSPENDED PARTICULATE MATTER
                     WITH A PARTICLE SIZE GREATER THAN 30-40 MICRONS.
                     DISSOLVED COPPER CONTENT LESS THAN 1.0 PPM AND
                     DISSOLVED IRON CONTENT LESS THAN 4.0 PPM.

             3.2.2   MOST OF THE CLOSED LOOP, HOT AND CHILLED WATER
                     SYSTEMS ARE NOT EQUIPPED WITH SIDE STREAM FILTERS.
                     AS A PART OF THIS RFP, THE CONTRACTOR WILL PROVIDE
                     SIDE STREAM FILTERS AND REPLACEMENT FILTER
                     CARTRIDGES FOR THESE FILTERS FOR MONTHLY CHANGES
                     IF THEY ARE REQUIRED.

             3.2.3   WHERE SIDE STREAM FILTERS ARE REQUIRED, THE
                     CONTRACTOR WILL PROVIDE THE NECESSARY PIPE,
                     VALVES, FILTERS AND HOUSINGS TO INSTALL THESE
                     FILTERS.  INSTALLATION WILL BE DONE BY THE
                     CONTRACTOR.

             3.2.4   THE CHEMICAL TREATMENT RECOMMENDED FOR THE CLOSED
                     LOOP SYSTEMS MUST INCLUDE A POLYMERIC DISPERSANT
                     TO INSURE THE EFFECTIVE OPERATION OF THESE
                     FILTERS.

       3.3   CHEMICAL TREATMENT AND PROTECTIVE MAINTENANCE

             3.3.1   THE CONTRACTOR WILL PROVIDE A COMPLETE WATER
                     TREATMENT PROGRAM FOR THE HEATING AND AIR
                     CONDITIONING SYSTEMS THROUGHOUT THE CAPITOL
                     COMPLEX AND WEST TRENTON COMPLEX.

             3.3.2   CONTRACTOR WILL FURNISH ALL TREATMENT CHEMICALS,
                     TEST EQUIPMENT, REAGENTS AND CHEMICAL FEED AND
                     CONTROL EQUIPMENT NECESSARY TO IMPLEMENT AND
                     MAINTAIN THE WATER TREATMENT PROGRAM.  ALL
                     EQUIPMENT PROVIDED UNDER THIS CONTRACT WILL BECOME
                     THE PROPERTY OF THE STATE OF NEW JERSEY.

             3.3.3   THE MAINTENANCE, REPAIR AND CALIBRATION OF ALL
                     WATER TREATMENT CHEMICAL FEED AND CONTROL
                     EQUIPMENT, TO INCLUDE WATER SOFTENERS, EITHER
                     EXISTING OR AS PROVIDED BY THE CONTRACTOR, WILL BE
                     THE RESPONSIBILITY OF THE CONTRACTOR.  COST OF
                     REPLACEMENT PARTS AND EQUIPMENT WILL BE BORNE BY
                     THE STATE OF NEW JERSEY.

             3.3.4   THE CONTRACTOR WILL PROVIDE TRAINING PROGRAMS
                     WHEN/AS REQUESTED BY THE STATE OF NEW JERSEY.  THE
                     PROGRAM WILL TEACH OPERATING PERSONNEL PROPER
                     HANDLING OF THE CHEMICALS FOR SAFE APPLICATION,
                     CHEMICAL TESTING PROCEDURES FOR ACCURATE CONTROL
                     OF CHEMICAL APPLICATION AND CORRECTIVE ACTIONS
                     THAT SHOULD BE TAKEN IF THE SYSTEMS ARE OUT OF THE
                     CONTROL RANGES RECOMMENDED BY THE CONTRACTOR.

             3.3.5   THE CONTRACTOR WILL MAKE A MINIMUM OF 1 SERVICE
                     VISIT PER MONTH TO ALL LOCATIONS COVERED BY THIS
                     CONTRACT.  DURING THESE VISITS THE CONTRACTOR'S
                     REPRESENTATIVE WILL TEST ALL OF THE SYSTEMS BEING
                     CHEMICALLY TREATED.  TEST TO BE CONDUCTED WILL
                     INCLUDE BUT NOT BE LIMITED TO THOSE TESTS LISTED
                     IN THE SCHEDULE BELOW.  THE CONTRACTOR WILL
                     SUPPLY WRITTEN REPORTS TO THE OPERATOR IN THE
                     BUILDING AT THE TIME OF THE SERVICE VISIT AND A
                     COPY FOR THE CONTRACT MANAGER.  ALL TEST RESULTS
                     WILL BE REPORTED AS PPM OF THE ACTIVE COMPONENT
                     AND NOT AS PPM OF THE PRODUCT USED.  THE SERVICE
                     REPORT WILL DOCUMENT THE PERCENTAGE CONDENSATE/
                     MAKE-UP WATER, PERCENT BLEED-OFF, CYCLES OF
                     CONCENTRATION BY CHLORIDE ANALYSES, SCALE
                     FORMATION BY HARDNESS AND LANGELIER'S ANALYSES,
                     CORROSION BY IRON AND COPPER ANALYSES.  THE
                     CONTRACTOR'S REPRESENTATIVE WILL PROVIDE WRITTEN
                     RECOMMENDATIONS FOR CORRECTIVE ACTIONS TO BE TAKEN
                     BY BUILDING OPERATING PERSONNEL.  TEST WILL
                     INCLUDE, BUT NOT BE LIMITED TO:

             3.3.6   THE CONTRACTOR WILL PROVIDE CORROSION COUPON
                     BY-PASS ASSEMBLIES FOR ALL CONDENSER WATER LOOPS
                     AND CONDUCT AT LEAST ONE 30 AND ONE 90 DAY STUDY
                     FOR EACH SYSTEM EACH YEAR OF THE CONTRACT.  WHERE
                     CORROSION IS SUSPECTED IN A CLOSED LOOP SYSTEM, AS
                     DETERMINED BY THE CONTRACT MANAGER, THE CONTRACTOR
                     WILL BE REQUIRED TO PROVIDE A CORROSION COUPON
                     BY-PASS ASSEMBLY AND COUPON EVALUATIONS FOR THE
                     SYSTEM AS PART OF THIS CONTRACT.

             3.3.7   THE CONTRACTOR WILL PROVIDE CONSULTING SERVICES ON
                     AN AS NEEDED BASIS AS PART OF THIS CONTRACT.  A
                     WRITTEN REPORT WILL BE REQUIRED GIVING
                     RECOMMENDATIONS FOR ANY MECHANICAL CHANGES OR
                     IMPROVEMENTS NEEDED TO SYSTEMS UNDER REVIEW.

             3.3.8   THE CONTRACTOR WILL PROVIDE QUARTERLY WRITTEN
                     REPORTS TO THE CONTRACT MANAGER GIVING A SUMMARY
                     OF THE CONDITIONS AND ANY PROBLEMS THAT HAVE
                     OCCURRED AND HOW THEY WERE CORRECTED.

       3.4   TECHNICAL REQUIREMENTS FOR WATER TREATMENT CHEMICALS

             3.4.1   THE CONTRACTOR WILL PROVIDE FOR APPLICATION
                     CHEMICAL TREATMENT COMPOUNDS AS DESCRIBED IN THE
                     FOLLOWING PARAGRAPHS.  THE USE OF POLYOLE ESTERS
                     AND ORGANIC PHOSPHOROUS COMPOUNDS FOR THE PURPOSE
                     OF DONATING INORGANIC PHOSPHATE TO THE TREATMENT
                     PROGRAM IS SPECIFICALLY EXCLUDED BY THIS RFP.  THE
                     USE OF SODIUM CARBONATE, HYDRAZINE, AMMONIA AND
                     ORGANIC PHOSPHATE COMPOUNDS ARE SPECIFICALLY
                     EXCLUDED IN THE TREATMENT OF BOILER WATERS. THE
                     USE OF HEAVY METALS SUCH AS CHROMATES, ZINC AND
                     OTHER COMPOUNDS RESTRICTED BY THE NEW JERSEY
                     DEPARTMENT OF ENVIRONMENTAL PROTECTION AND ENERGY
                     AND/OR FEDERAL E.P.A. ARE SPECIFICALLY EXCLUDED IN
                     THIS RFP.

             3.4.2   AT THE REQUEST OF THE CONTRACT MANAGER, THE
                     CONTRACTOR WILL DISCLOSE THE COMPOSITION AND
                     CONCENTRATIONS OF THE PRODUCTS USED OR PROPOSED
                     AND PROVIDE THE NECESSARY MSDS SHEETS.  THE
                     CONTRACT MANAGER AND THE STATE OF NEW JERSEY
                     AGREES TO HANDLE THIS INFORMATION AS CONFIDENTIAL
                     DATA.

             3.4.3   ALL COMPOUNDS USED WILL COMPLY WITH APPLICABLE
                     F.D.A., U.S.D.A., O.S.H.A., E.P.A. AND STATE OF
                     NEW JERSEY RIGHT TO KNOW LAWS AND REGULATIONS.

       3.5   CHEMICAL TREATMENT REQUIREMENTS

             3.5.1   THE CONTRACTOR WILL PROVIDE A PRODUCT OR PRODUCTS
                     FOR THE TREATMENT OF STEAM BOILER WATERS.  THE
                     PRODUCT OR PRODUCTS WILL BE APPLIED SO AS TO
                     MAINTAIN NOT LESS THAN:

                     (A)  300 PPM OF PHENOLPHTHALEIN ALKALINITY AS
                          CALCIUM CARBONATE,
                     (B)  20 PPM OF PHOSPHATE AS THE PHOSPHATE ION,
                     (C)  30 PPM OF SULFITE AS THE SULFITE ION,
                     (D)  10 PPM OF POLYMERIC DISPERSANT SUCH AS
                          CARBOXYMETHYL-CELLULOSE OR A POLYACRYLATE
                     (E)  SOLAR SALT FOR ALL WATER SOFTENERS
                          IN THE BOILERS AT ALL TIMES.

             3.5.2   STEAM BOILERS WILL BE OPERATED SUCH THAT THE
                     BLOW-DOWN WILL NOT EXCEED 7% OF THE FEED WATER FED
                     TO THE BOILER.  THE TOTAL DISSOLVED SOLIDS WILL
                     NOT EXCEED 5,500 PPM AND THE PHENOLPHTHALEIN
                     ALKALINITY SHALL NOT EXCEED 900 PPM AS CALCIUM
                     CARBONATE.

             3.5.3   NEUTRALIZING AMINES WILL NOT BE USED TO TREAT THE
                     STEAM/CONDENSATE SYSTEMS AT THE H&A BUILDING AND
                     THE INSECT REARING LAB.

             3.5.4   THE CONTRACTOR WILL PROVIDE A SINGLE DRUM, MIXED
                     LIQUID PRODUCT CONTAINING SCALE AND CORROSION
                     INHIBITORS AS WELL AS POLYMERIC DISPERSANTS FOR
                     THE TREATMENT OF THE CONDENSER WATER.  THE PRODUCT
                     WILL CONTAIN A SPECIFIC INORGANIC CORROSION
                     INHIBITOR FOR THE PROTECTION OF STEEL.  SHOULD THE
                     CONTRACTOR CHOOSE TO USE A CORROSION INHIBITOR
                     DIFFERENT THAN THOSE SPECIFIED, THE CONTRACTOR
                     WILL BE REQUIRED TO PROVIDE DATA SUBSTANTIATING
                     THE EFFECTIVENESS OF THE CORROSION INHIBITOR.  THE
                     PRODUCT WILL BE APPLIED SUCH THAT NOT LESS THAN
                     THE FOLLOWING LEVELS OF TREATMENT WILL BE
                     MAINTAINED IN THE SYSTEM AT ALL TIMES:

                          (A)  8 PPM OF ORGANO-PHOSPHONATE SUCH AS
                               HYDROXYETHYLENE DI PHOSPHATE,
                          (B)  4 PPM OF ACTIVE POLYMERIC DISPERSANT,
                          (C)  ONE OF THE FOLLOWING INORGANIC CORROSION
                               INHIBITORS:
                               -2 PPM PHOSPHATE AS THE PHOSPHATE ION
                               -5 PPM MOLYBDATE AS THE MOLYBDATE ION
                               -12 PPM SILICA AS SILICATE ION
                               -300 PPM NITRITE AS NITRITE ION

             3.5.5   THE CONDENSER WATER SYSTEM WILL BE OPERATED TO
                     MAINTAIN THE LANGELIER'S SATURATION INDEX BETWEEN
                     +1.5 AND +2.5 WHILE MAINTAINING NOT LESS THAN 2
                     CYCLES OF CONCENTRATION DURING NORMAL OPERATIONS.
                     THE PH OF THE CIRCULATING WATER SHALL NOT EXCEED
                     9.0.  TWO DIFFERENT TYPES OF BIOCIDES WILL BE
                     APPLIED ON AN ALTERNATING INTERVAL.

             3.5.6   CONTRACTOR WILL PROVIDE A BLENDED CORROSION
                     INHIBITOR AND DISPERSANT PRODUCT FOR THE TREATMENT
                     OF THE CLOSED LOOP, HOT AND CHILLED WATERS.  IF A
                     POWDERED PRODUCT IS APPLIED, A CHEMICAL MIX TANK
                     AND AGITATOR WILL BE REQUIRED TO FEED THE PRODUCT.
                     THE INHIBITOR WILL BE THE SAME AS CURRENTLY USED
                     IN THE SYSTEM.  NOTE:  SULFITE, MOLYBDATE AND
                     NITRITE BASED INHIBITORS ARE USED IN VARIOUS STATE
                     OF NEW JERSEY FACILITIES.

             3.5.7   ONE OF THE FOLLOWING INHIBITOR LEVELS WILL BE
                     MAINTAINED IN THE CLOSED SYSTEM AT ALL TIMES:

                     (A)  SULFITE NOT LESS THAN 30 PPM AS THE SULFITE
                          ION,
                     (B)  NITRITE NOT LESS THAN 300 PPM AS THE NITRITE
                          ION FOR CHILLED WATER CLOSED LOOP SYSTEMS,
                     (C)  NITRITE NOT LESS THAN 1,000 PPM AS THE
                          NITRITE ION FOR HOT WATER CLOSED LOO SYSTEM,
                     (D)  MOLYBDATE NOT LESS THAN 100 PPM FOR CHILLED
                          WATER CLOSED LOOP SYSTEMS.
                          MOLYBDATE NOT LESS THAN 150 PPM FOR HOT WATER
                          CLOSED LOOP SYSTEMS.

             3.5.8   COOLING TOWER
                     ADDITION OF BIOCIDE FEED PUMP FOR THESE SYSTEMS:

                     (A)  STORAGE TANK FOR BIOCIDE
                     (B)  PLUMBING FOR INSTALLATION
                     (C)  CHEMICAL FEED PUMPS
                     (D)  INCLUSIONS OF ANY TIMERS

             3.5.9   CLOSED LOOP
                     ADDITION OF 5 GALLON POT FEEDER (NEPTUNE FTF-5 OR
                     APPROVED EQUAL) WITH PIPE WORK FOR THE FOLLOWING
                     LOCATIONS:

                     (A)  MARY ROEBLING
                     (B)  LABOR & INDUSTRY HOT WATER (CLOSE LOOP) -
                          PERIMETER HOT WATER
                     (C)  TAXATION
                     (D)  STATE LIBRARY HOT WATER CLOSED LOOP

                     (F)  HEALTH & AGRICULTURE HOT WATER CLOSED
                          LOOP (2-8)

             3.5.10  VENDOR SHALL BE RESPONSIBLE FOR REMOVAL OF ALL
                     EMPTY CHEMICAL DRUMS USED IN EXECUTING THIS
                     CONTRACT.

       3.6   PERFORMANCE STANDARDS

             3.6.1   PERFORMANCE OF THE BOILER WATER/STEAM GENERATOR
                     CHEMICAL TREATMENT PROGRAM WILL BE DEEMED
                     SATISFACTORY WHEN PROPER TREATMENT LEVELS ARE
                     MAINTAINED IN THE SYSTEM AND SCALE BUILD-UP ON
                     METAL SURFACES DOES NOT EXCEED 0.0156 INCHES PER
                     OPERATING YEAR WITH NOT TUBERCULATION AND/OR
                     SURFACE CORROSION.

             3.6.2   PERFORMANCE OF THE CONDENSER WATER AND CHILLED
                     WATER TREATMENT PROGRAM WILL BE DEEMED
                     SATISFACTORY WHEN PROPER CHEMICAL TREATMENT LEVELS
                     ARE MAINTAINED AT ALL TIMES AND WHEN CORROSION
                     RATES ARE LESS THAN 5 MILLS PER YEAR.  ALSO, THE
                     SYSTEM SHALL MAINTAIN LESS THAN A 0.0005 INCREASE
                     IN THE DESIGNED FOULING FACTOR FOR ALL HEAT
                     EXCHANGERS.

             3.6.3   PERFORMANCE OF THE CLOSED LOOP, HOT WATER
                     TREATMENT WILL BE DEEMED SATISFACTORY WHEN THE
                     CHEMICAL TREATMENT LEVELS ARE MAINTAINED AT THE
                     PROPER LEVELS AT ALL TIMES AND THE SYSTEM SHOWS NO
                     SIGNS OF CORROSION, SCALE FORMATION OR DEPOSITION.

       3.7   COMPLETE WATER TREATMENT WILL BE PROVIDED TO THE FOLLOWING

 4.0   GENERAL

       4.1   COST LIABILITY

             THE STATE OF NEW JERSEY ASSUMES NO LIABILITY AND NO
             RESPONSIBILITY FOR COSTS INCURRED BY BIDDER PRIOR TO THE
             ISSUANCE OF A CONTRACT.

       4.2   CONTRACT EXTENSIONS

             AFTER THE FIRST CONTRACT PERIOD, THE USING AGENCY MAY
             RECOMMEND CONTRACT EXTENSIONS FOR PERIODS OF ONE YEAR.
             THE DECISION TO EXTEND THE CONTRACT WILL BE MADE ON THE
             BASIS OF SATISFACTORY PERFORMANCE THROUGH THE PREVIOUS
             YEAR.  THE CONTRACTOR WILL BE NOTIFIED OF EXTENSION
             REQUESTS IN WRITING AT LEAST SIXTY DAYS BEFORE THE
             CONTRACT IS DUE TO EXPIRE.  THE CONTRACTOR WILL RESPOND TO
             THE REQUEST IN WRITING WITHIN TEN WORKING DAYS AFTER
             RECEIPT OF THE NOTIFICATION.  PRICES FOR CONTRACT
             EXTENSIONS WILL BE BASED ON THE PRICES FOR YEARS 2 AND 3
             IDENTIFIED ON THE BID SHEET.  ACCEPTANCE OF THE EXTENSION
             BY THE CONTRACTOR IS OPTIONAL.

       4.3   CONSULTING SERVICES

             4.3.1   THE SUCCESSFUL BIDDER MAY BE REQUIRED TO PROVIDE
                     CONSULTING SERVICES FOR ADDITIONAL BUILDINGS THAT
                     MAY BE ADDED TO THE SCOPE OF RESPONSIBILITY OF THE
                     DIVISION OF FACILITIES MANAGEMENT.  IN NO CASE
                     WILL THE NUMBER OF BUILDINGS IN THIS CATEGORY
                     EXCEED THREE PER YEAR.  THERE WILL BE NO
                     ADDITIONAL CHARGES FOR THESE SERVICES.

             4.3.2   CONSULTING SERVICES WILL CONSIST OF, BUT NOT BE
                     LIMITED TO:

                     (A)  TESTING/ANALYSES OF THE HVAC WATERS AND A
                          REPORT ON THE INITIAL STATUS OF THE ENTIRE
                          WATER TREATMENT SYSTEM AND TREATMENT
                          PROGRAMS,

                     (B)  WRITTEN RECOMMENDATIONS ON SUPPLEMENTAL
                          CHEMICAL TEST, FEED, CONTROL EQUIPMENT,
                          CHEMICAL TREATMENTS AND A SCHEDULE TREATMENT
                          CONTROL PARAMETERS,

                     (C)  A REVIEW OF THE SYSTEMS DESIGN AND OPERATIONS
                          WITH A WRITTEN REPORT DOCUMENTING ANY
                          POTENTIAL OR EXISTING PROBLEM AREAS WITH
                          RECOMMENDATIONS ON WAYS TO CORRECT THE
                          PROBLEM,

                     (D)  ROUTINE SAMPLING, TESTING AND WRITTEN REPORT
                          OF THE TREATED WATERS WITH TESTS AS OUTLINED
                          IN PARA 2.3.5.

       4.4   SERVICE LOCATION AND PERSONNEL

             A SERVICE OFFICE WITH A TELEPHONE LINE THAT HAS AN
             ANSWERING SERVICE OR SECRETARY FROM 8:30 AM TO 4:30 PM
             MUST BE PROVIDED BY THE CONTRACTOR UNDER THIS CONTRACT.  A
             SERVICE REPRESENTATIVE MUST BE LOCATED WITHIN A 50 MILE
             (APPROX.) RADIUS OF TRENTON, NEW JERSEY.  THE SERVICE
             REPRESENTATIVE MUST BE AVAILABLE TO RESPOND TO EMERGENCY
             CALLS ON A 24 HOUR BASIS.  THE CONTRACTOR WILL PROVIDE AT
             LEAST TWO TELEPHONE NUMBERS WHERE THE STATE OF NEW JERSEY
             PERSONNEL CAN GET 24-HOUR PER DAY EMERGENCY PHONE
             CONSULTATIONS.


 5.0   TERMINATION OF CONTRACT

       5.1   WHERE CIRCUMSTANCES AND/OR THE NEEDS OF THE STATE
             SIGNIFICANTLY CHANGE, OR THE CONTRACT IS OTHERWISE DEEMED
             NO LONGER TO BE IN THE PUBLIC INTEREST, THE DIRECTOR MAY
             TERMINATE A CONTRACT ENTERED INTO AS A RESULT OF THIS BID,
             UPON NO LESS THAN THIRTY DAYS NOTICE TO THE VENDOR AND AN
             OPPORTUNITY TO RESPOND.

       5.2   WHERE A CONTRACTOR FAILS TO PERFORM OR COMPLY WITH A
             CONTRACT, AND FAILS TO COMPLY WITH THE COMPLAINTS
             PROCEDURE IN N.J.A.C. 17:12-4.2 ET SEQ., THE DIRECTOR MAY
             TERMINATE THE CONTRACT, UPON TEN DAYS NOTICE FOR CAUSE.

       5.3   WHERE A CONTRACTOR CONTINUES TO PERFORM A CONTRACT POORLY
             AS DEMONSTRATED BY FORMAL COMPLAINTS, LATE DELIVERY, POOR
             PERFORMANCE OF SERVICE, SHORT-SHIPPING, ETC., SO THAT THE
             DIRECTOR IS REPEATEDLY REQUIRED TO USE THE COMPLAINTS
             PROCEDURE IN N.J.A.C. 17:12-4.2 ET SEQ., THE DIRECTOR MAY
             TERMINATE THE CONTRACT, UPON TEN DAYS NOTICE TO THE VENDOR
             FOR CAUSE.

       5.4   WHERE THE CONTRACTOR FAILS TO MEET QUALITY PERFORMANCE
             CRITERIA AS DESCRIBED IN SECTION 3.0 OF THIS RFP.


 6.0   AVAILABILITY OF FUNDS

       THE STATE'S OBLIGATION HEREUNDER IS CONTINGENT UPON THE
       AVAILABILITY OF APPROPRIATED FUNDS FROM WHICH PAYMENT FOR
       CONTRACT PURPOSES CAN BE MADE.  NO LEGAL LIABILITY ON THE PART
       OF THE STATE FOR PAYMENT OF ANY MONEY SHALL ARISE UNLESS AND
       UNTIL FUNDS ARE MADE AVAILABLE EACH FISCAL YEAR TO THE DIRECTOR
       OF PURCHASE AND PROPERTY.


 7.0   TRANSITIONAL PERIOD

       WHEN SERVICES ARE TERMINATED BY CONTRACT EXPIRATION AND NO NEW
       CONTRACT EXISTS, IT SHALL BE INCUMBENT UPON THE CONTRACTOR TO
       CONTINUE THE SERVICE UNTIL A NEW CONTRACT CAN BE COMPLETELY
       OPERATIONAL.  AT NO TIME SHALL THIS SERVICE EXTEND MORE THAN 90
       DAYS BEYOND THE EXPIRATION DATE OF THE EXISTING CONTRACT.
       VENDOR WILL BE REIMBURSED FOR THIS SERVICE AT THE PRIOR CONTRACT
       RATE SCHEDULE.


 8.0   METHOD OF BILLING

       8.1   BILLS FOR SERVICES PERFORMED ARE TO BE SUBMITTED TO THE
             REQUESTING STATE AGENCY ONLY ON A STATE OF NEW JERSEY
             PAYMENT VOUCHER (PV 6/93).

       8.2   INVOICES ARE TO IDENTIFY THE LOCATION TO WHICH THEY APPLY
             AND STATE AN EXPLANATION OF SERVICES.

       8.3   INVOICES WILL NOT BE PROCESSED IF WORK IS FOUND INCOMPLETE
             OR UNSATISFACTORY AFTER AN INSPECTION BY A STATE
             REPRESENTATIVE.  THE INVOICE WILL BE HELD UNTIL THE
             CONTRACTOR MAKES THE NECESSARY CORRECTIONS TO MEET THE
             STANDARDS STATED IN THIS RFP.

       8.4   PARTIAL PAYMENTS FOR WORK COMPLETED MAY BE MADE AFTER AN
             APPROVAL OF THE WORK BY A REPRESENTATIVE FROM THE DIVISION
             OF FACILITIES MANAGEMENT AND SUBMISSION OF A STATE INVOICE
             TO THE DIVISION OF FACILITIES MANAGEMENT.
